Terms of Service

Applicable between NET AGENT CO., LTD and Agents using the Deal Hub platform.

Last updated: 18/09/2026

By registering an account, ordering a service package, paying fees, or continuing to use Deal Hub, the Agent confirms having proper authority to use the service and agrees to this Policy.

1. Definitions

  • NET Agent: NET AGENT CO., LTD, the unit developing, providing, and commercializing Deal Hub.
  • Deal Hub/Platform: Templates, software, dashboards, APIs/integrations, tools to generate or track Affiliate Links, order/commission data synchronization, and modules supporting Agents in operating Cashback programs.
  • Agent: Organizations or individuals registering, purchasing, and using Deal Hub to operate custom-branded websites/channels, connect Affiliate programs, and deploy Cashback for End Users.
  • End User/Buyer: Individuals using the Agent's website/channel, accessing E-commerce platforms via Affiliate links, and eligible to be recorded and paid Cashback by the Agent.
  • E-commerce Platform/Affiliate Partner: Third-party platforms or networks where actual purchase transactions occur and/or where tracking, reconciliation, and Affiliate commission results are determined.
  • Affiliate Data: Tracking data, orders, statuses, eligible values, commissions, and related data provided by E-commerce platforms, Affiliate networks, or lawful data sources.
  • Cashback/Refund: Benefit amounts that the Agent decides to share with End Users according to the Agent's own policy; this is not money committed or directly paid by NET Agent.

2. Nature of service and division of roles

NET Agent provides technology infrastructure and operating tools for Deal Hub. NET Agent is not a seller of goods on E-commerce platforms, does not collect purchase funds from End Users, and does not assume liability on behalf of sellers/platforms regarding goods quality, delivery, warranty, returns, or product refunds.

Unless otherwise agreed in writing, NET Agent does not directly receive or hold Affiliate commissions belonging to the Agent and has no obligation to directly pay Cashback to End Users.

Agents independently operate their business activities on Deal Hub; configure their own Cashback programs; determine share rates, conditions, minimum withdrawal limits, payment methods, and schedules; and directly bear responsibility for fulfilling Cashback commitments to End Users according to their published policies.

E-commerce platforms/Affiliate networks determine order tracking, valid order criteria, commission rates, reconciliation status, and commission payouts under their programs. Deal Hub receives, processes, and displays this data but has no authority to alter final determinations made by competent data sources.

3. Account registration and conditions of use

  • Agents must provide accurate, complete, and updated registration information; registrants must possess proper authorization to represent the Agent.
  • Agents are responsible for securing credentials, API keys, tokens, Affiliate accounts, and other authentication information under their management.
  • Agents must promptly notify NET Agent upon discovering unauthorized access, loss of account control, or incidents that could impact data or services.
  • NET Agent may apply verification mechanisms, technical limits, or account suspensions within reasonable bounds to protect systems, prevent fraud, or comply with lawful requests.

4. Right to use Deal Hub and intellectual property

During the term of an active service package and conditioned upon compliance with this Policy, NET Agent grants the Agent a limited, non-exclusive, non-transferable, and non-sublicensable right to use Deal Hub, unless otherwise agreed in writing.

  • NET Agent and/or lawful licensors retain all rights to source code, architecture, templates, original interfaces, technical documentation, trademarks, tools, and enhancements of Deal Hub.
  • Agents retain rights to trademarks, content, and data provided or created by the Agent, provided they do not infringe third-party rights.
  • Agents must not copy source code, decompile, reverse-engineer, resell, lease, sublicense, or remove proprietary notices from Deal Hub outside authorized scopes.

5. Affiliate integration and data synchronization

Agents are responsible for maintaining valid Affiliate accounts and granting Deal Hub access/integration only through supported methods compliant with partner terms.

  • Order and commission data may be subject to latency, adjustments, rejections, reversals, or omissions due to E-commerce platform/Affiliate network reconciliation cycles.
  • Estimated, pending, or equivalent figures displayed on Deal Hub are for reference only until confirmed by competent data sources.
  • Where discrepancies exist between provisional Deal Hub data and final partner reconciliation data, final partner data prevails, unless technical errors within Deal Hub are identified.

6. Agent responsibilities for Cashback programs

If using the Cashback module, the Agent must formulate and transparently disclose conditions to End Users prior to their participation. At minimum, the Agent's policy must state:

  • How eligible transactions and exclusions are identified;
  • How Cashback is calculated, statuses (provisional, confirmed, withdrawable, disbursed), and adjustment rules for canceled orders, returns, or commission clawbacks;
  • Minimum withdrawal thresholds, payout methods, processing times, and information required from End Users to receive funds;
  • Anti-fraud provisions, dispute resolution procedures, and support channels;
  • Personal data protection policies and disclosures regarding associated technology providers when necessary.

Agents must not describe Cashback as guaranteed prior to orders and commissions being confirmed by applicable reconciliation data. Agents must maintain operational processes to fulfill due Cashback obligations under their policies.

7. Obligations of the Agent

  • Comply with Affiliate program terms of each E-commerce platform/network, including regulations on traffic, advertising, vouchers, self-purchasing, cookies/tracking, and marketing content.
  • Provide transparent, non-misleading information regarding Cashback rates, qualification conditions, confirmation timelines, and NET Agent's role.
  • Fulfill applicable legal obligations concerning business activities, including e-commerce, consumer protection, advertising, taxation, invoicing, and personal data.
  • Do not use Deal Hub for unlawful activities, fraud, unauthorized intrusion, malware dissemination, or infringement of third-party rights.

8. Prohibited conduct and anti-fraud

  • Generating artificial orders, fake clicks, bots, invalid traffic, fake conversions, or tampering with tracking data;
  • Automated scraping, crawling, or exploiting APIs outside scopes authorized by NET Agent;
  • Impersonating NET Agent, E-commerce platforms, or sellers; using third-party trademarks in a manner misleading regarding agency or endorsement;
  • Attempting to bypass technical boundaries, access other Agents' accounts/data, or disrupt systems;
  • Using End User data for purposes outside disclosed or permitted scopes.

NET Agent may suspend features or accounts for investigation upon signs of fraud, security risks, or material violations. Where feasible, suspensions will be limited to a reasonable scope and duration.

9. Service fees, payments, and refunds

Deal Hub usage fees are amounts paid by the Agent to NET Agent for software/services and are completely distinct from Cashback paid by the Agent to End Users. Fee amounts, billing cycles, and package entitlements are specified in quotations, orders, contracts, annexes, or corresponding signup screens.

  • NET Agent may suspend services when fees are overdue after sending reasonable notice to the Agent.
  • Unless commercial agreements or law provide otherwise, fees incurred for a service period that has commenced are non-refundable merely because the Agent no longer requires the service.
  • Refund cases are governed by the Deal Hub Service Fee Refund Policy in Part 3 of this Policy Suite.

10. Service operations and third-party dependencies

NET Agent endeavors to maintain Deal Hub stability and may perform maintenance, upgrades, or feature modifications to enhance services, security, or meet operational demands. NET Agent does not guarantee uninterrupted system operation unless governed by a dedicated SLA.

Certain functionalities depend on APIs, data, policies, or infrastructure of E-commerce platforms, hosting providers, payment processors, email/SMS services, and other third parties. NET Agent is not liable for events beyond its reasonable control but will make reasonable efforts to cooperate in resolving them.

11. Data and privacy

NET Agent processes data within necessary limits to provide Deal Hub, deliver technical support, safeguard systems, prevent fraud, and execute features enabled by the Agent. Data processing is governed by the Deal Hub Privacy Policy in Part 2 and separate data agreements between the parties, if any.

12. Suspension and termination

NET Agent may suspend or terminate services when the Agent materially violates this Policy, fails to fulfill payment obligations, impairs system security, uses services for unlawful purposes, or pursuant to lawful orders from competent authorities. Termination does not extinguish obligations arising prior to the termination date.

13. Limitation of liability

NET Agent is liable for technology services directly provided by NET Agent. NET Agent is not liable on behalf of E-commerce platforms/sellers for products, delivery, or returns; is not liable on behalf of Affiliate partners for commission approvals, rejections, or adjustments; and is not liable on behalf of the Agent for Cashback policies or Cashback payment obligations to End Users.

14. Policy updates

NET Agent may update these Terms of Service to reflect changes in Deal Hub, service models, or regulatory requirements. Updated versions will be published on the Deal Hub website and/or communicated via appropriate channels when changes materially affect Agent rights and obligations.

15. Governing law and dispute resolution

This Policy is governed by the laws of Vietnam. The parties prioritize resolving disputes through good-faith negotiation. If unresolved, disputes shall be settled in accordance with agreements between the parties and applicable law.
